1. Acceptance of Terms

By accessing or using Reframe Practice ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Reframe Practice ("we," "us," or "our"), a Canadian company based in Ontario.

2. Eligibility and Professional Use

Reframe Practice is designed exclusively for licensed mental health professionals. By using the Service, you represent and warrant that:

  • You are at least 18 years of age.
  • You hold a valid, active license to practice psychotherapy, psychology, counseling, social work, or a related mental health discipline in your jurisdiction.
  • You will use the Service solely for legitimate professional purposes related to your clinical practice.
  • You will immediately cease using the Service if your professional license is suspended, revoked, or lapses.

We reserve the right to request proof of licensure at any time. Failure to provide such proof may result in suspension or termination of your account.

3. Service Description

Reframe Practice provides AI-powered tools to help mental health professionals create therapeutic worksheets, session guides, and related clinical materials. The Service includes:

  • Worksheet Generator - Creates personalized therapeutic worksheets based on your clinical input.
  • Session Guide - Generates session preparation materials and clinical suggestions.
  • Profile Optimizer - Helps optimize your Psychology Today profile for better client conversion.

Generated content is stored locally in your browser. We do not maintain copies of your worksheets or session guides on our servers.

4. AI-Generated Content Disclaimer

This is critical. Please read carefully.

The Service uses artificial intelligence to generate clinical content. AI can make mistakes, produce inaccurate information, or generate content that is not appropriate for a specific clinical situation.

You must review, edit, and validate all AI-generated content before using it with clients. The Service is a drafting tool to save you time. It is not a substitute for your clinical judgment.

You are solely responsible for:

  • Reviewing all generated content for clinical appropriateness, accuracy, and safety
  • Making all clinical decisions regarding client care
  • Ensuring compliance with your professional standards and regulatory requirements
  • Adapting or discarding content that does not meet your professional standards

The Service does not provide medical advice, diagnosis, or treatment. We are not responsible for clinical outcomes resulting from the use of AI-generated content.

5. Subscription and Billing

Plans and Pricing

We offer the following subscription plans:

  • Free - 10 worksheets (lifetime limit), basic features
  • Pro - $29 USD/month or $288 USD/year, unlimited worksheets and session guides
  • Group - $99 USD/month or $948 USD/year, Pro features for up to 5 team members
  • Profile Optimizer - Included with Pro subscription

Auto-Renewal

Subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

Annual Subscription Reminder

For annual subscriptions, we will send you an email reminder at least 30 days before your renewal date, notifying you of the upcoming charge and renewal amount.

Cancellation

You may cancel your subscription at any time through your Account Settings. Cancellation is effective at the end of your current billing period. You will continue to have access to paid features until your subscription expires.

No phone calls required. You can cancel with one click in your dashboard.

Price Changes

We may change our prices from time to time. We will provide at least 30 days' notice of price changes via email. Price changes will take effect at the start of your next billing period following the notice.

6. Refund Policy

30-Day Satisfaction Guarantee

We offer a 30-day satisfaction guarantee on all new subscriptions. If you are not satisfied with the Service for any reason within 30 days of your initial subscription purchase, contact us for a full refund. No questions asked.

After the 30-day period: Subscription fees are non-refundable. If you cancel, you will retain access through the end of your current billing period, but no partial refunds will be issued.

One-time purchases (Profile Optimizer): One-time purchases are refundable within 30 days of purchase if you have not yet used the tool.

7. Your Content and Intellectual Property

Your Input

You retain all rights to the clinical descriptions and other content you input into the Service ("Your Input"). You grant us a limited, non-exclusive license to process Your Input solely for the purpose of providing the Service.

Generated Output

Subject to your compliance with these Terms, we assign to you all rights in the worksheets, session guides, and other content generated by the Service ("Output"). You may use, modify, and distribute the Output as you see fit for your clinical practice.

Note: Due to the nature of AI generation, different users may receive similar outputs for similar inputs. We do not guarantee exclusivity of any generated content.

No Training on Your Data

We do not use Your Input or Output to train our AI models or any third-party AI models. Your clinical content is processed ephemerally and is not stored or used for any purpose other than generating your requested output.

Our Intellectual Property

We retain all rights to the Service, including our software, prompts, templates, clinical frameworks, and trademarks. You may not reverse-engineer, copy, or attempt to extract our proprietary systems.

8. Acceptable Use Policy

You agree not to:

  • Use the Service for any unlawful purpose or in violation of your professional ethics
  • Attempt to manipulate or "jailbreak" the AI to produce harmful, offensive, or inappropriate content
  • Share your account credentials with others (Group plan members must each have their own account)
  • Resell, sublicense, or commercially redistribute the Service
  • Attempt to reverse-engineer, decompile, or extract our AI prompts or systems
  • Use automated scripts or bots to access the Service
  • Interfere with or disrupt the Service or its infrastructure

Data minimization: While our architecture is designed to handle clinical content safely, we encourage you to use de-identified descriptions when possible (e.g., "35yo professional" rather than full names and addresses).

9. Referral Program ("Colleague Credit")

Our referral program allows you to earn credits by referring colleagues to Reframe Practice.

  • Credit amount: $29 USD credit for both you (referrer) and your colleague (referee).
  • When credits apply: Credits are issued after your colleague completes their first payment. This ensures genuine engagement with the service before rewards are distributed.
  • Credit use: Credits are applied to your next billing cycle. Credits have no cash value and cannot be redeemed for cash.
  • Annual limit: You may earn up to 12 referral credits per calendar year ($348 maximum value).
  • Expiration: Credits expire after 12 months of account inactivity or immediately upon account cancellation.
  • Eligibility: You must have an active paid subscription to participate in the referral program.
  • Disclosure requirement: When sharing your referral link, you must disclose that you will receive a credit if your colleague subscribes (as required by FTC guidelines).
  • Abuse: We reserve the right to void credits and terminate accounts in cases of referral abuse (e.g., creating fake accounts, self-referrals, using multiple payment methods to circumvent limits).

10. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • AI-generated content will be accurate, appropriate, or clinically effective
  • The Service will meet your specific requirements
  • Any defects will be corrected

You acknowledge that AI technology has inherent limitations and that you are responsible for verifying all output before clinical use.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability to you for any claims arising from or related to the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses.
  • We shall not be liable for any clinical outcomes, patient harm, or malpractice claims arising from your use of AI-generated content.

Nothing in these Terms excludes or limits our liability for: gross negligence, fraud, or any liability that cannot be excluded by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Reframe Practice and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any claim by a client, patient, or other third party related to your clinical practice or use of AI-generated content

13. Termination

By you: You may terminate your account at any time through your Account Settings or by contacting us.

By us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay applicable fees. We may also terminate the Service entirely with 30 days' notice.

Effect of termination: Upon termination, your access to the Service will cease. Locally-stored data remains on your device. We will delete your account information within 30 days, except as required for legal or accounting purposes.

14. Governing Law and Dispute Resolution

Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

For Canadian Users

Any disputes arising from these Terms shall be resolved exclusively in the courts located in Toronto, Ontario, Canada.

For United States Users

Binding Arbitration: Any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules.

Class Action Waiver: You agree that any arbitration or proceeding shall be conducted only on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Small Claims Exception: Either party may bring an individual action in small claims court for disputes within the court's jurisdiction.

Virtual Proceedings: Arbitration may be conducted remotely via video conference or on a documents-only basis for claims under $25,000 USD.

15. Changes to These Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email or through a prominent notice on the Service.

For minor, non-material changes, your continued use of the Service after the changes take effect constitutes acceptance. For material changes affecting your rights or obligations, we may require you to affirmatively accept the updated Terms before continuing to use the Service.

16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
  • No Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights to any successor or affiliate.
  • Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, pandemics, or third-party service outages.
